NOTICE – USER ACCOUNT ACCESS CONDITIONS
Effective as of February 3, 2026
PLEASE READ CAREFULLY:
Access to the content made available by Morelli through the registered user login area accessible at
morellimobilierurbain.com/log-in/ (the “User Account”) is strictly limited to persons who fully and unconditionally accept the terms and conditions of this access agreement (the “Agreement”).
PARTIES
Michel Morelli Designers Inc.
2038 Marie-Victorin Rd, Varennes, QC J3X 1R3
(“Morelli”)
AND
Any individual or legal entity accessing the protected content of the website
(the “User”)
(Morelli and the User are hereinafter collectively referred to as the “Parties”)
By selecting the checkbox “I accept” and continuing to browse, the User acknowledges having read, understood, and agreed to be legally bound by the terms of this Agreement.
PURPOSE
Morelli’s original creations constitute strategic intellectual property assets of significant economic and creative value. This Agreement is intended to prevent and deter any misappropriation, unauthorized use, or undue appropriation of Morelli’s creative investments, as well as any form of unfair or parasitic competition.
The purpose of this Agreement is to define the strict and limited conditions under which the User is authorized to access the content made available through the User Account, including, without limitation, drawings, models, plans, standards, sketches, renderings, notes, prototypes, brochures, technical data sheets and specifications, requirements documents, 2D and 3D files, photographs, videos, and catalogues (collectively, the “Documentation”) relating to Morelli furniture elements (the “Creations”).
OWNERSHIP AND INTELLECTUAL PROPERTY
All Documentation accessible through the User Account is the exclusive property of Morelli or its licensors, and all rights, title, and interest therein are expressly reserved.
The Creations, including any improvements, variations, or derivative works, are protected under applicable intellectual property laws, including copyright, industrial design, and trademark laws, as applicable. These protections confer exclusive rights upon Morelli.
The User expressly acknowledges the original and distinctive nature of the Creations. Nothing in this Agreement shall be construed as transferring or granting to the User any intellectual property rights or rights of exploitation in the Documentation or the Creations.
LIMITED RIGHT OF ACCESS
Access to the Documentation is granted solely for internal consultation purposes by the User, and exclusively for the purpose of evaluating Morelli furniture products in order to determine whether to proceed with a potential order, within the context of a specific project in which such products may reasonably be contemplated (the “Project”).
This right of access is granted on a temporary, personal, non-exclusive, non-transferable basis and is strictly limited to pre-contractual and decision-making purposes.
No right of use, reproduction, adaptation, modification, extraction, reuse, or exploitation of the Documentation, in whole or in part, is granted outside the strict scope of the Project. In particular, access to the Documentation shall not be construed as authorizing any use for design, manufacturing, disclosure, technical comparison, creative inspiration, adaptation, or development of competing products or projects, whether or not an order is ultimately placed.
Morelli grants the User a personal, non-exclusive, non-transferable, non-assignable, non-sublicensable licence to access the Documentation, revocable at any time, and strictly limited to the purposes expressly set out herein. No implied licence or authorization is granted.
PROHIBITED USES
The User acknowledges and agrees that it is strictly prohibited, directly or indirectly, to use all or any part of the Documentation for the purpose of:

reproducing, copying, reverse engineering, decompiling, circumventing, imitating, or adapting the Creations, in whole or in part;

manufacturing, producing, distributing, or commercializing products derived from substantial or recognizable inspiration from the Creations;
-
any competitive or benchmarking purposes;
-
serving as a source of exploitable inspiration for deferred, indirect, or future use;
-
training, testing, or developing artificial intelligence or machine learning models;
-
disclosing, publishing, sharing, distributing, or making the Documentation available to any third party;
-
removing, altering, or obscuring any copyright notices, watermarks, intellectual property markings, or confidentiality legends;
-
soliciting quotations, bids, or offers from third parties, including manufacturers.
These prohibitions apply without limitation in time and irrespective of whether the Creations are ultimately purchased or used in a Project. Any breach shall be deemed intentional.
CONFIDENTIALITY
For the purposes of this Agreement, “Confidential Information” means all non-public Documentation disclosed by Morelli through the User Account, as well as any other information that a reasonable person would consider confidential given the nature of the information and the circumstances of its disclosure.
The User undertakes to:

use the Confidential Information solely for the purposes authorized under this Agreement;

protect the Confidential Information with at least the same degree of care as it applies to its own confidential information of similar sensitivity, and no less than reasonable care;

restrict access to Confidential Information to authorized persons who have a legitimate need to know; and
-
not disclose the Confidential Information to any third party, except as expressly permitted herein.
Exclusions
Confidential Information does not include information that the User can demonstrate, by written evidence, that it:

is or becomes publicly available without breach of this Agreement;
-
was lawfully known to the User prior to disclosure and without restriction;
-
was received from a third party without breach of any obligation; or
-
was independently developed without use of the Confidential Information.
Duration
The confidentiality obligations shall take effect upon acceptance of this Agreement and shall remain in force for five (5) years following the last date on which the User accessed the User Account. Trade secrets, if any, shall be protected for as long as they remain trade secrets under applicable law.
Injunctive Relief
The User acknowledges that any unauthorized use or disclosure of Confidential Information may cause irreparable harm for which monetary damages may be inadequate, and that Morelli shall be entitled to seek injunctive or equitable relief in addition to any other remedies available at law.
MONITORING AND EVIDENCE
Morelli reserves the right to monitor and record access to the Documentation, including technical logs, timestamps, IP addresses, and acceptance records, and to retain such information for evidentiary purposes in the event of a dispute.
LIABILITY AND SANCTIONS
Any breach of this Agreement may result in the User being held liable and exposed to claims for breach of contract, intellectual property infringement, unfair competition, damages, injunctive relief, and any other remedies available under applicable law.
IMMEDIATE TERMINATION
Morelli may, at its sole discretion, immediately terminate the User’s access to the User Account, without notice, in the event of any breach of this Agreement, without prejudice to any legal proceedings.
GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of Canada and the laws of the Province of Québec applicable therein. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the judicial district of Montréal, Québec.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior or contemporaneous understandings. If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
EXPRESS ACCEPTANCE (CLICK-WRAP)
Acceptance of this Agreement constitutes an electronic signature within the meaning of applicable law, including the Act to establish a legal framework for information technology (CQLR, c. C-1.1).
The User expressly acknowledges that:
(i) this Agreement is presented prior to any access to the Documentation;
(ii) continued navigation is technically impossible without acceptance; and
(iii) the checkbox constitutes a clear, free, and unequivocal expression of consent.
